These Terms of Service (“Terms”) govern your access to and use of LeadLedger (“LeadLedger,” “we,” “us,” or “our”) and the services we provide. By accessing our website, creating an account, or using our services, you agree to be bound by these Terms.If you do not agree to these Terms, do not use our services.

1. Services ProvidedLeadLedger provides inbound marketing and lead generation services for home service businesses, including but not limited to plumbing, HVAC, electrical, roofing, and similar service industries.Our service delivers qualified inbound service phone calls or leads generated through digital advertising and routed directly to the customer’s designated phone number or intake system.

2. Qualified Lead DefinitionA “Qualified Lead” is defined as an inbound phone call or lead that meets the qualification criteria agreed upon during onboarding, which may include (but is not limited to):The caller is seeking the type of service selected by the customerThe caller is within the agreed geographic service areaThe call meets minimum duration or engagement requirementsThe call is not spam, robocall, or irrelevant inquiryQualification criteria may vary by customer and are determined prior to service activation.

3. Billing & Payment TermsUsage-Based BillingLeadLedger operates on a usage-based billing model.Customers are billed daily for qualified leads delivered during the previous calendar dayExample: Leads delivered on Monday are billed on TuesdayCharges are processed automatically using the payment method on filePricingPricing is set per qualified lead or callPricing may vary based on market, geography, competition, or customer selectionFinal pricing is confirmed during onboarding or at checkoutBy using our services, you authorize LeadLedger to charge your payment method for all qualified leads delivered in accordance with these Terms.

4. Disputes & Lead ReviewCustomers may dispute a lead if they believe it does not meet the agreed qualification criteria.Disputes must be submitted within the timeframe outlined during onboardingLeadLedger reserves the right to review call recordings, metadata, and qualification dataApproved disputes may result in a credit or adjustment at LeadLedger’s discretionLeadLedger’s determination regarding lead qualification is final.

5. No Guarantee of ResultsLeadLedger does not guarantee:A specific number of leadsConversion ratesRevenue, profit, or business outcomesResults depend on factors outside our control, including customer responsiveness, pricing, service quality, and market conditions.

6. Customer ResponsibilitiesCustomers agree to:Provide accurate business and service informationMaintain a working phone number or intake systemRespond promptly and professionally to inbound leadsComply with all applicable local, state, and federal lawsFailure to do so may impact lead quality and does not excuse payment obligations.

7. Cancellation & Pausing ServicesCustomers may request to pause or cancel services subject to the terms agreed upon during onboarding.Charges incurred prior to cancellation or pause remain payableCancellation does not retroactively void prior charges8. Prohibited UseCustomers may not:Misrepresent LeadLedger services as exclusive unless explicitly agreedResell leads without written authorizationUse the service for unlawful, deceptive, or fraudulent purposesViolation of this section may result in immediate termination of service.

9. Limitation of LiabilityTo the maximum extent permitted by law, LeadLedger shall not be liable for:Lost profits or revenueBusiness interruptionIndirect, incidental, or consequential damagesOur total liability shall not exceed the amount paid by the customer to LeadLedger in the prior 30 days.

10. Modifications to TermsLeadLedger reserves the right to update these Terms at any time. Continued use of the services after changes constitutes acceptance of the updated Terms.

11. Governing LawThese Terms are governed by and construed in accordance with the laws of the United States and the state in which LeadLedger operates, without regard to conflict of law principles.
